1. Scope
These General Conditions of Sale (GTC) govern the commercial relations between the company Transboutik (hereinafter "the Seller") and professional customers (hereinafter "the Buyer"). Any order placed by a Buyer implies full adherence to these Terms and Conditions.
2. Orders
Orders must be made in writing (email or online form). The Buyer guarantees that the information provided during the order is accurate and complete. Any change of order after validation requires the written agreement of the Seller.
3. Prices
The prices of the products are those indicated in the quotation or catalog supplied by the Seller at the time of the order. Prices are expressed in euros, excluding taxes, and do not include delivery costs unless otherwise stated in the estimate.
4. Prohibition of Resale at Lower Price
The Buyer undertakes not to resell the products purchased at a price lower than that charged by Transboutik on its website or physical outlets. The purpose of this prohibition is to ensure fair competition and to protect the trade mark Transboutik.
In the event of non-compliance with this clause, the Seller reserves the right to take corrective measures, including but not limited to the immediate cessation of deliveries, termination of the commercial contract, or legal actions.
5. Delivery
Delivery times are indicative. The Seller strives to meet the announced deadlines but cannot be held responsible for a delay of delivery beyond his will. Transport risks shall be borne by the Buyer as from the delivery of the goods to the carrier.
6. Payment methods
Invoices are payable according to the terms and conditions agreed in the estimate or contract. Failure to pay at maturity will result in late payment penalties calculated at a legal rate, as well as suspension of deliveries until regularization.
7. Return and Exchange
Only defective or non-compliant products may be returned. Any complaint concerning an apparent defect or non-compliance of the product must be made by the Buyer within 7 days of receipt of the product. No refund will be granted; only trade or credit in the form of vouchers. Attention, it is possible to make a maximum of two returns for the same order.
8. Guarantee
Products benefit from the legal guarantee against hidden defects. The warranty applies only to products used under normal conditions. Products modified or repaired by the Buyer without the agreement of the Seller are excluded from the warranty.
9. Intellectual property
All trademarks, logos and other intellectual property related to the products sold remain the exclusive property of Transboutik. The Buyer undertakes not to use these items without prior and express authorization from the Seller.
10. Applicable Law and Jurisdiction
These Terms and Conditions are subject to French law. In the event of a dispute, the parties shall endeavour to settle their dispute amicably. Otherwise, any dispute shall be subject to the exclusive jurisdiction of the courts of the registered office of Transboutik.
11. Right of withdrawal
Exceptions to the right of withdrawal:
The right of withdrawal may not be exercised in the following cases:
Custom or custom products: All products indicated as pre-ordered or marked with customisation may be subject to any request for withdrawal. These products are manufactured specifically according to the characteristics chosen by the Customer and put into production upon validation and payment of the order.
